Overview
These terms describe the intended licence structure for the Vendor Decision Kit. The checkout version must be reviewed and approved before sales open. Purchase grants a limited right to use the files; ownership of the product and intellectual property is not transferred.
Solo licence
Permitted for one named user. The user may use and edit the workbook for internal professional or personal business work. Sharing the editable files with another user, legal entity or client is not permitted.
Business licence
Permitted for up to five internal users within one legal entity or agreed business unit. Internal outputs may be circulated within that entity. The editable source files may not be shared outside the licensed entity or resold.
Consultant licence
Permitted for one named independent consultant to reuse the framework in paid client engagements and deliver resulting reports, summaries and outputs to clients. The original editable VENDECISION source files may not be transferred, sublicensed, resold or left with the client unless separately agreed in writing.
Prohibited use
No licence permits resale, public distribution, template-marketplace listing, sublicensing, sharing through public repositories, removal of product notices for deceptive resale, or creation of a substantially competing template product from the files.
Updates and support
The licence is for the purchased version. Correction updates to that version may be supplied if issued. Feature upgrades may be separate. Support covers file access and basic product-use questions, not procurement consulting, implementation or supplier verification.
No professional advice or verification
The workbook is decision support. The licensee remains responsible for evidence, calculations, due diligence, approvals, legal compliance and the final procurement decision.
Termination
A material breach may terminate the licence, subject to applicable law. On termination, further use and distribution must stop.
Law and review
The final licence should be reviewed under the law applicable to the seller and customer before live checkout.
